Evolution care SUPPORT PLAN - TERMS AND CONDITIONS This document (the "Terms and Conditions") contains comprehensive details of the PLANMECA USA, INC. Evolution Care Support Plan (the "Support Plan") offered by PLANMECA USA, INC. (the "Company"). By purchasing the Support Plan any customer is fully accepting all Terms and Conditions as binding. The Support Plan is available to customers who have accepted these Terms and Conditions, and follows the expiration of the manufacturer's limited warranty offered by the Company. 1. The Customer: Person or entity entering into a Support Plan, and which agrees to these Terms and Conditions. Customer includes the address of the single site location where the Covered Products resides. 2. The Company: PLANMECA USA, INC., 100 N. Gary Avenue, Suite A, Roselle, IL 60172 3. Commencement Date: The date the Customer commences a Support Plan by submitting payment to Company, and by electronically agreeing to these Terms and conditions. 4. Products. This Support Plan applies solely to Planmeca FIT System Products consisting of the following: Planmeca PlanScan scanner, Planmeca Emerald scanner, Planmeca PlanMill 40, Planmeca PlanMill 40S, Planmeca PlanMill 30S, E4D NEVO Scanner and E4D Dentist Cart (the "Products") located at Customer's physical address set forth in Section 1 above (the "Covered Products"), and do not apply to any other products. If the Customer has Covered Products at multiple locations, Customer must enter into a separate Support Plan for each location in which Covered Products are physically located. 5. Payment Terms. Annual and monthly pricing for the Support Plan is set forth on Schedule A (the "Payments"). Schedule A does not include taxes, duties, fees, and assessments levied or imposed by any governmental agency, each of which shall be the sole responsibility of, and separately paid by, Customer. All Payments are due in advance, and the Company may, in its sole discretion, terminate this Support Plan in the event any of the Payments are not made on time. Customer acknowledges and agrees that Payments will automatically be renewed at completion of each billing cycle and Customer's credit card will automatically be charged for the new billing cycle unless written cancellation is received by the Company at least 30 days prior to the end of the current billing cycle. 6. Agreement: The Company agrees to provide the Support Plan Services (as defined below) described in Section 7 for the Covered Products, and Customer agrees to the Company's terms and conditions detailed herein and to pay the Payments to the Company pursuant to Section 5 above. 7. Support Plan Services. The following services constitutes all of Company's obligations under the Support Plan (the "Support Plan Services"): (a) Software and licensing updates for the Covered Products, including a single site license of PlanCad. (b) Support On Sight (SOS) remote support for hardware diagnostics and software support. THE FOREGOING SERVICES (AND THE RIGHTS AND REMEDIES OF CUSTOMER HEREUNDER) ARE IN LIEU OF, SUBSTITUTION FOR, AND EXPRESS LIMITATION OF, AND CUSTOMER HEREBY WAIVES, ANY AND ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, OR ARISING BY OPERATION OF LAW, COURSE OF DEALING OR PERFORMANCE, TRADE PRACTICE OR OTHERWISE, AND THE COMPANY HEREBY DISCLAIMS ANY AND ALL SUCH OTHER WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 8. Providing Support Plan Services. During the term of this Support Plan, PLANMECA USA, INC. shall provide restorative PlanCad software updates to the Customer Covered Products free of charge. Operating systems and Romexis license upgrades are excluded. Customer will receive free, unlimited telephone support and Support On Sight (SOS) during the term of this Support Plan, through the Company's PLANMECA USA, INC. technical support hotline by calling 1-800-537-6070. Technical Support will be available Monday through Friday from 7:00 a.m. to 6:00 p.m. CST. 9. Exclusions from Coverage. The Support Plan does not include any of the following, each of which will, as between the Company and Customer, be the sole responsibility of Customer: (a) All hardware upgrades to Covered Products. (b) All costs, fees and expenses relating to labor, consumables (including but not limited to scanning tips, burrs, blocks, spindle caps, gaskets and collets), preventive maintenance, repairs, parts replacement and delivery for Covered Products. (c) Onsite preventive maintenance or repairs. (d) Damage or wear due to misuse, abuse, dropping scanner or laptop, electromagnetic interference, telecommunications failure, accident, unauthorized repair or modification, neglect, alteration, unsuitable physical or operating environment, failure to obtain mandated maintenance, improper installation, shipping, service or modification by other than an authorized representative/service technician, or alterations to the Covered Products with other than Company approved components. (e) Damage or wear resulting from causes including without limitation excessive heat or humidity, power failure, power surges, or natural disaster (including without limitation flood, fire, and storms). (f) Normal wear and tear on appearance items, such as casings, covers, etc. 10. Customer Obligations. As a condition precedent to the Company's obligations hereunder, Customer shall: (a) Allow employees and agents of the Company access to the Covered Products between 8:00 a.m. and 5:00 p.m. Monday to Friday, excluding regularly observed holidays. (b) Use only the Company or parties authorized by the Company to service or repair the Covered Products. The Customer discharges and releases the Company from any responsibility for the Covered Products if anyone other than the Company or an agent of the Company services or repairs the Covered Products. (c) The Customer will provide general maintenance for the Covered Products in accordance with the Company's guidelines. Additionally, Customer agrees to be bound by the judgment of the Company regarding the means and methods employed with respect to any Support Plan Services provided to Covered Products. 11. Force Majeure. The Company shall not be liable for any loss or damage arising from failure to render any service or to supply any materials under the terms of these Terms and Conditions when such failure is the result of matters outside the Company's reasonable control. 12. Cancellation of Coverage: (a) Customer may cancel the Support Plan at any time. Upon cancellation of the Support Plan, coverage will continue for the remainder of the current billing cycle to the extent of Payments received by the Company. Cancellation prior to end of a billing cycle does not entitle Customer to any refund. (b) The Company may cancel this Support Plan at any time and either (i) give Customer a pro-rata refund of the latest Payment received by the Company to the extent the Company has not provided under the corresponding Support Plan (as determined by the Company in its reasonable discretion), or (ii) provide Support Plan Services for the remaining billing cycle and retain all Payments made by Customer. 13. Limitations. (a) IN NO EVENT SHALL THE COMPANY OR ITS AGENTS BE LIABLE FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES, LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE, IN EACH CASE ARISING OUT OF, RELATING TO, OR IN CONNECTION WITH ANY BREACH OF THIS SUPPORT PLAN AND THES TERMS AND CONDITIONS, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER OR NOT CUSTOMER WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH THE CLAIM IS BASED. (b) Customer agrees that neither the Company, nor its directors, officers, employees, or agents, shall be liable for any loss or damage to the Covered Products or other property or injury or death to Customer or its agents, employees, or customers arising out of or in connection with services provided by the Company or agents under these Terms and Conditions unless such loss, injury, death or damage results solely from the gross negligence or willful misconduct of the Company or its agents. IN NO EVENT SHALL THE COMPANY'S OR ITS AGENTS' AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THIS SUPPORT PLAN AND TERMS AND CONDITIONS, WHETHER ARISING OUT OF OR IN CONNECTION WITH A BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED THE TOTAL OF THE AMOUNTS PAID TO THE COMPANY PURSUANT TO THESE TERMS AND CONDITIONS IN THE ONE YEAR PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM. (c) THE LIMITATION OF LIABILITY PROVISIONS SET FORTH IN THIS SECTION 13 SHALL APPLY EVEN IF THE CUSTOMER'S REMEDIES UNDER THESE TERMS AND CONDITIONS FAIL OF THEIR ESSENTIAL PURPOSE. 14. Notices. All notices, requests, consents, claims, demands, waivers, and other communications hereunder (each, a "Notice") shall be in writing and addressed to the parties at the addresses set forth on the first page of these Terms and Conditions (or to such other address that may be designated by the receiving party from time to time in accordance with this Section). All Notices shall be delivered by personal delivery, nationally recognized overnight courier (with all fees pre-paid), facsimile or email (with confirmation of transmission), or certified or registered mail (in each case, return receipt requested, postage pre-paid). Except as otherwise provided in these Terms and Conditions, a Notice is effective only (a) upon receipt by the receiving party, and (b) if the party giving the Notice has complied with the requirements of this Section. 15. Interpretation. For purposes of these Terms and Conditions, (a) the word "or" is not exclusive; and (b) the word "hereunder" refers to these Terms and Conditions as a whole. Unless the context otherwise requires, references herein: (x) to sections and schedules mean the sections of, and schedules attached to, these Terms and Conditions; and (y) to an agreement, instrument, or other document means such agreement, instrument, or other document as amended, supplemented, and modified from time to time to the extent permitted by the provisions thereof. These Terms and Conditions shall be construed without regard to any presumption or rule requiring construction or interpretation against the party drafting an instrument or causing any instrument to be drafted. The schedule referred to herein shall be construed with, and as an integral part of, these Terms and Conditions to the same extent as if it were set forth verbatim herein. Words used in the singular include the plural, the plural includes the singular. 16. Entire Agreement. These Terms and Conditions constitutes the sole and entire agreement of Customer and the Company with respect to the subject matter contained herein, and supersedes all prior understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. 17. Amendment and Modification; Waiver. These Terms and Conditions may only be amended, modified, or supplemented by an agreement in writing signed by each party hereto. No waiver by any party of any of the provisions hereof shall be effective unless explicitly set forth in writing and signed by the party so waiving. No waiver by any party shall operate or be construed as a waiver in respect of any failure, breach, or default not expressly identified by such written waiver, whether of a similar or different character, and whether occurring before or after that waiver. No failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from the Terms and Conditions shall operate or be construed as a waiver thereof; nor shall any single or partial exercise of any right, remedy, power, or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege. 18. Assignment; Third Party Beneficiaries. Customer may not assign any of its rights or delegate any of its obligations hereunder without the prior written consent of the Company. Any purported assignment or delegation in violation of this Section shall be null and void. No assignment or delegation shall relieve the assigning or delegating party of any of its obligations hereunder. These Terms and Conditions shall be binding upon and shall inure to the benefit of Customer and the Company and their respective permitted successors and permitted assigns. These Terms and Conditions are for the sole benefit or Customer and the Company and their respective successors and permitted assigns and nothing herein, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of these Terms and Conditions. 19. Governing Law. These Terms and Conditions and all matters arising out of or relating to these Terms and Conditions, whether sounding in contract, tort, or statute, are governed by, and construed in accordance with, the laws of the State of Illinois, United States of America, without giving effect to the conflict of laws provisions thereof to the extent such principles or rules would require or permit the application of the laws of any jurisdiction other than those of the State of Illinois. Customer and the Company agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms and Conditions. 20. Arbitration. Any controversy or claim arising out of or in connection with these Terms and Conditions, or the breach thereof, shall be determined by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules and Mediation Procedures ("Commercial Rules"). The award rendered by the arbitrator shall be final, non-reviewable, non-appealable, and binding on Customer and the Company and may be entered and enforced in any court having jurisdiction , and any court where a party or its assets is located (to whose jurisdiction the parties consent for the purposes of enforcing the award). Judgment on the award shall be final and non-appealable. There shall be one arbitrator agreed to by Customer and the Company within twenty (20) days of receipt by respondent of the request for arbitration or in default thereof appointed by the AAA in accordance with its Commercial Rules. The seat or place of arbitration shall be Dupage County, Illinois. Except as may be required by law, neither a party hereto nor the arbitrator may disclose the existence, content or results of any arbitration without the prior written consent of both parties, unless to protect or pursue a legal right. The arbitrator will have no authority to award any damages that are otherwise excluded under the terms of these Terms and Conditions.
